1. Acceptance of Terms
By accessing or using Slab File (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and Slab File, governed by the laws of the State of California.
2. Description of Service
Slab File provides a web-based platform for cataloging, tracking, and managing comic book collections. The Service includes features for recording comic information, tracking valuations, organizing storage locations, and utilizing AI-powered assistance.
3. User Accounts
3.1 Registration
To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
3.2 Account Security
You must immediately notify us of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to maintain account security.
3.3 Age Requirement
You must be at least 13 years old to use the Service. Users under 18 must have parental consent.
4. Subscription and Billing
4.1 Free and Pro Plans
We offer both free and paid subscription plans. Free plans are limited to 50 comics. Pro plans ($99/year) provide unlimited comics and additional features.
4.2 Payment Terms
- Subscriptions are billed annually in advance
- All payments are processed securely through Stripe
- Prices are subject to change with 30 days' notice
- All fees are non-refundable except as required by law or stated in our refund policy
4.3 Automatic Renewal
Subscriptions automatically renew at the end of each billing period unless canceled. You can cancel anytime through your account settings or by contacting support.
4.4 Cancellation and Refunds
You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. For California residents, you may be entitled to a refund within 30 days of initial purchase if you are not satisfied with the Service.
5. User Content
5.1 Your Content
You retain ownership of all content you upload to the Service (photos, notes, valuations, etc.). By uploading content, you grant us a limited license to store, display, and process your content to provide the Service.
5.2 Content Restrictions
You agree not to upload content that:
- Violates any copyright, trademark, or other intellectual property rights
- Contains malicious code or viruses
- Is illegal, fraudulent, or harmful
- Violates any applicable laws or regulations
5.3 Content Removal
We reserve the right to remove any content that violates these Terms or is otherwise objectionable, without notice.
6. Intellectual Property
The Service, including its software, design, text, graphics, and other content (excluding user content), is owned by Slab File and protected by U.S. and international intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service.
"Slab File" and our logo are trademarks of Slab File. You may not use these without our prior written permission.
7. Valuations Disclaimer
Comic valuations provided by the Service are estimates only and should not be relied upon as professional appraisals. Actual market values may differ significantly. We are not responsible for financial decisions made based on our valuation estimates.
8. AI Assistant (Miles)
Our AI assistant provides information and recommendations but may not always be accurate. You should independently verify important information. We are not liable for decisions made based on AI-generated content.
9. Prohibited Uses
You agree not to:
- Use the Service for any illegal purpose
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the Service
- Use automated means to access the Service (bots, scrapers, etc.)
- Resell or redistribute the Service
- Impersonate another person or entity
10. Termination
We may suspend or terminate your account at any time for violation of these Terms or for any other reason. Upon termination:
- Your right to use the Service immediately ceases
- We may delete your account and content after 30 days
- You remain responsible for all charges incurred before termination
You may delete your account at any time through your account settings. Upon deletion, your data will be removed according to our Privacy Policy.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
California residents have certain rights that cannot be waived, and nothing in this section limits those rights.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY CALIFORNIA LAW, SLAB FILE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR $100, WHICHEVER IS GREATER.
13. Indemnification
You agree to indemnify and hold harmless Slab File from any claims, damages, losses, and expenses (including attorneys' fees) arising from your violation of these Terms or your use of the Service.
14. Dispute Resolution
14.1 Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
14.2 Arbitration
Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in California, except that California residents may opt out of arbitration by notifying us within 30 days of account creation.
14.3 Small Claims Court
You may pursue claims in small claims court if they qualify.
15. Changes to Terms
We may modify these Terms at any time. Material changes will be notified via email or through the Service. Continued use after changes constitutes acceptance of the modified Terms.
16. Miscellaneous
16.1 Entire Agreement
These Terms, along with our Privacy Policy, constitute the entire agreement between you and Slab File.
16.2 Severability
If any provision of these Terms is found invalid, the remaining provisions remain in effect.
16.3 Waiver
Our failure to enforce any right or provision does not constitute a waiver of that right.
